These Terms and Conditions (“Terms”) govern your access to and use of Vescent’s website, applications, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

Disclaimer: Supportive Environment Only. This website is created solely as a supportive environment for teens seeking friendship and connection through a mentoring relationship. Vescent mentors complete a screening, background check, and training process before being matched with a teen, but they are not licensed clinicians or medical professionals. While they are trained to offer guidance and support, they are not a substitute for the advice, diagnosis, or treatment of a physician, licensed therapist, mental health professional, or other qualified provider.

Vescent is a U.S.-based company and subject to U.S. laws and jurisdiction. If you are outside the U.S., you agree that your data may be transferred to and processed in the U.S. and other jurisdictions where Vescent operates.

2. Eligibility

The Services are intended for teen girls (ages 13-17) and trained near-peer mentors (ages 18-24).
You must be at least 13 years old to create an account. We do not offer a parental-consent pathway for users under 13; accounts for anyone under 13 will not be created.
By using the Services, you confirm that you meet these eligibility requirements and that the birthdate you provide is accurate.
If we later learn that a user misrepresented their age at signup, we may suspend or terminate the account.

3. Modifications to Terms

Vescent reserves the right to modify these Terms at any time. We will notify users of changes via email or notifications within the Services. Continued use of the Services after modifications constitutes acceptance of the updated Terms.

4. Use of the Services

4.1 Permitted Use. Users agree to:

Use the Services only for lawful purposes and in accordance with these Terms.
Engage respectfully with other users and abide by our Community Guidelines.
Provide accurate and up-to-date registration information.

4.2 Prohibited Activities. Users must NOT:

Engage in harassment, bullying, hate speech, or abuse.
Post, share, or distribute explicit, harmful, or illegal content.
Impersonate another person, use multiple accounts, or provide false information.
Attempt to hack, disrupt, or interfere with the functionality or security of the Services.
Use automated systems (e.g., bots, scraping tools) to access the Services.

Violation of these rules may result in suspension or termination of your account.

5. Account Registration & Security

Users must create an account with accurate details, including email, phone number, birthdate (to confirm you meet our minimum age), and username.
Users are responsible for maintaining the confidentiality of their account credentials.
If you suspect unauthorized use of your account, notify Vescent immediately at hello@vescent.co.

6. Privacy, Data Collection & Call Monitoring

Vescent respects user privacy. Our Privacy Policy explains how we collect, store, and protect your data. By using the Services, you agree to the collection and use of your data as outlined in our Privacy Policy.

Video and Voice Calls. By using Vescent’s video or voice calling features, you and the person you are speaking with each acknowledge and consent that the conversation may be automatically transcribed and screened, using automated tools and AI-based analysis, for safety purposes as described in our Privacy Policy. If a conversation is flagged for a safety concern, a short excerpt of the transcript may be retained and reviewed by trained staff.

7. Content & Intellectual Property

7.1 User-Generated Content. Users may post, submit, or share content (“User Content”) within the Services. By doing so, you:

Grant Vescent a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the Services.
Retain ownership of your content. When you delete your account we delete the content you posted, as described in our Privacy Policy. We may keep a limited copy where safety or the law requires it.

7.2 Prohibited Content. Users may NOT upload content that:

Violates copyright, trademark, or intellectual property laws.
Contains explicit, illegal, or misleading material.
Harms or exploits minors in any way.

7.3 Child Safety & CSAE (Child Sexual Abuse and Exploitation). Vescent has zero tolerance for any form of child sexual abuse or exploitation. To protect our teen and young adult community:

Users may not post, share, or engage in any content or communication involving child sexual abuse, exploitation, or grooming.
Any form of child sexual abuse material (CSAM) is strictly prohibited.
Violations will be reported to the National Center for Missing & Exploited Children (NCMEC) and, where appropriate, law enforcement, as required by federal law.
Users can report concerns in-app or by emailing hello@vescent.co.
Vescent complies with all applicable child protection and online safety laws, including federal reporting obligations under 18 U.S.C. § 2258A.

8. Community Guidelines & Safety

Vescent provides a moderated community to ensure a safe space for all users.
Users violating our Community Guidelines may be suspended or removed from the platform.
Any user experiencing or witnessing inappropriate behavior should report it to hello@vescent.co.

9. Termination of Account

Vescent may terminate or suspend an account at any time for violations of these Terms. Upon termination:

Users lose access to all content and interactions within the Services.
Vescent may retain data as outlined in our Privacy Policy.
You can delete your account and your data at any time in the app, under Settings, or by emailing hello@vescent.co.

10. Disclaimer of Warranties

Vescent provides the Services “as is” and “as available.” We make no guarantees regarding:

Service availability, uninterrupted access, or error-free performance.
Accuracy, reliability, or quality of user-generated content.
Security of user data, though we implement industry-standard protections.

11. Limitation of Liability

To the fullest extent permitted by law, Vescent is not liable for:

Any direct, indirect, incidental, or consequential damages arising from use of the Services.
Unauthorized access to or alteration of user data.
Third-party conduct, including interactions between users.

Total liability for any claim shall not exceed $100 USD or the amount paid for the Services, whichever is lower.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, U.S.A. Any disputes will be resolved in Fulton County, Georgia courts unless otherwise required by applicable law.

13. Copyright & DMCA Policy

Vescent respects intellectual property rights. If you believe your copyrighted content has been used unlawfully, submit a DMCA takedown notice to hello@vescent.co with:

Your contact information.
Identification of the copyrighted work.
A statement of good faith belief that use is unauthorized.
Your signature.
